These are algorithmic outputs only — they are not financial advice, investment advice, tax advice, or any other form of professional guidance.
Nothing in the Service constitutes financial, investment, legal, or tax advice. You should conduct your own independent due diligence before making any purchase or resale decision.
BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU EXPRESSLY WAIVE ANY AND ALL CLAIMS AGAINST FLIPSMART PRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARISING FROM YOUR RELIANCE ON ALGORITHMIC OR AI-GENERATED OUTPUTS, INCLUDING BUT NOT LIMITED TO PRICE COMPARISONS, PROFIT ESTIMATES, SHIPPING ESTIMATES, PRODUCT MATCHES, AND EBAY FEE CALCULATIONS. YOU ACKNOWLEDGE THAT THESE OUTPUTS ARE INFORMATIONAL TOOLS ONLY AND THAT ALL PURCHASING AND RESALE DECISIONS ARE MADE SOLELY AT YOUR OWN RISK.

All content, trademarks, logos, and software associated with FlipSmart Pro are the property of FlipSmart Pro or its licensors. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the extension for personal, non-commercial purposes in accordance with these Terms.
You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT PRICE DATA IS ACCURATE OR CURRENT, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR ITEM WILL BE PROFITABLE TO RESELL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIPSMART PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Facebook Marketplace and eBay are independent platforms that may change their interfaces, APIs, terms of service, or technical systems at any time without notice to us. We make no guarantee that the Service will remain compatible with any specific version of these platforms. FlipSmart Pro is not liable if Facebook, eBay, or any other third-party platform blocks, restricts, or renders the extension non-functional through platform changes, policy updates, or technical measures.
Price comparisons and profit estimates displayed by the Service are algorithmic outputs for informational purposes only. They do not constitute financial, investment, legal, or tax advice. FlipSmart Pro is not responsible for any financial loss, missed deal, or incorrect impression arising from reliance on these outputs. See Section 3 for the full AI & Algorithmic Disclaimer and express waiver.
FlipSmart Pro is not liable for any failure or delay in providing the Service resulting from causes beyond our reasonable control, including but not limited to: eBay API outages or policy changes, Supabase or Stripe service interruptions, internet infrastructure failures, distributed denial-of-service attacks, acts of God, natural disasters, pandemics, or actions by government authorities.
You agree to defend, indemnify, and hold harmless FlipSmart Pro and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
We reserve the right to assume exclusive control and defense of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. This indemnification obligation survives termination of these Terms.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.
YOU AND FLIPSMART PRO EXPRESSLY WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTIONS, OR ANY OTHER PROCEEDING WHERE ANY PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. NO ARBITRATION OR PROCEEDING MAY BE COMBINED WITH ANOTHER WITHOUT THE PRIOR WRITTEN CONSENT OF ALL PARTIES TO ALL AFFECTED PROCEEDINGS.
Notwithstanding the foregoing, FlipSmart Pro may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information. Nothing in this Section prevents either party from filing a complaint with a consumer protection agency or government authority.
You may opt out of binding arbitration within 30 days of first accepting these Terms by emailing support@flipsmart.pro with the subject "Arbitration Opt-Out" and your full name and email address. If you opt out, disputes will be resolved in a court of competent jurisdiction as provided in Section 13.
We may suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms, fraudulent or abusive activity, non-payment, or extended inactivity (free accounts inactive for 12+ months).
Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination — including intellectual property rights, the AI disclaimer and waiver (Section 3), indemnification (Section 9), the dispute resolution clause (Section 10), disclaimers, and limitation of liability — will continue to apply.
We may modify these Terms at any time. We will provide notice of material changes via email, an in-extension alert, and a prominent notice on our website. Changes take effect 14 days after notice (or immediately for legal compliance changes). Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Subject to the arbitration agreement in Section 10, any disputes not subject to arbitration shall be resolved exclusively in U.S. courts.
If any provision of these Terms is found by a court or arbitrator to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlipSmart Pro with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
